Welcome to Clarrif. These Terms of Service (“Terms”) govern access to and use of the Clarrif platform (“Service”) provided by Clarrif (“Company,” “we,” “us,” or “our”). These Terms apply to diagnostic laboratories, hospitals, clinics, and healthcare organizations (“Customer”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
By using the Service, you represent that you are authorized to bind the Customer to these Terms and that the Customer is legally registered. The Customer is responsible for all activities performed under its accounts and by its Authorized Users.
Clarrif provides AI-powered tools for laboratories, hospitals, and clinics, including:
The Service is designed to assist laboratories in improving patient communication and operational insights.
The Service uses artificial intelligence technologies, including large language models (LLMs). AI Outputs:
Clarrif does not provide medical advice, diagnosis, or treatment and does not replace clinical judgment. The Service does not create a doctor–patient relationship. Customers must implement appropriate clinical validation before using outputs for patient communication or decision-making.
Where the Customer enables delivery or reminder features, the Service transmits reports and reminders to the recipients the Customer designates — including patients and referring providers — using the contact details the Customer supplies, uploads, or sends through the Integration API. Clarrif sends these communications solely as a processor acting on the Customer's configuration and instructions; it does not determine who is contacted or the purpose of the communication.
The Customer is solely responsible for having a valid legal basis and any consent required to contact each recipient, and for the accuracy of the contact details it provides. The Service offers recipient-level controls, including unsubscribe/opt-out for reminder emails, which Clarrif honours at the platform level; the Customer must not attempt to circumvent them. Additional channels (for example WhatsApp or SMS) may be offered as they become available; the Customer's use of such channels is conditioned on compliance with applicable commercial-communication rules, including India's TRAI/DLT registration, template approval, and opt-in requirements.
The Service and its AI Outputs are informational and workflow tools only. They are NOT a medical device, clinical decision-support system, or substitute for professional medical judgment, and are not intended to diagnose, treat, cure, or prevent any disease. The Service is not designed or certified for use in emergencies or for any purpose where an error could contribute to injury, death, or other serious harm. The Customer and its qualified professionals are solely responsible for validating results and for all clinical, communication, and delivery decisions, and must not market, represent, or configure the Service as a diagnostic or medical device. The Customer bears sole responsibility for the accuracy and appropriateness of any content it sends to patients or other recipients.
The Customer agrees to:
The Customer must not:
The Customer is responsible for ensuring that only appropriate data is uploaded. Customers must remove or redact unnecessary sensitive data before upload or use redaction tools provided by the platform. Clarrif provides tools to assist in redaction but does not guarantee complete removal of all identifiers. The Customer remains responsible for compliance with applicable data protection laws.
The Customer retains full ownership of all Customer Data. Clarrif acts as a data processor for Customer Data — and as a controller only for limited account, security, and operational data as described in the Privacy Policy — and processes Customer Data solely to provide the Service. Clarrif does not sell Customer Data or claim ownership of reports, and neither Clarrif nor its sub-processors use Customer Data to train AI models.
To maintain the reliability, security, and fair usage of the Service, Clarrif implements safeguards to prevent misuse, automated abuse, and unsupported usage patterns.
The Service supports analysis of supported diagnostic report formats only. If unsupported, invalid, or non-compatible files are repeatedly submitted, automated safeguards may temporarily restrict certain functionality.
Such safeguards may include temporary limitations on generating new analyses after repeated unsupported uploads within a defined period. These restrictions are automatically lifted after a cooldown period.
These measures are implemented to:
Clarrif reserves the right to implement reasonable technical controls, including rate limiting and temporary usage restrictions, to preserve platform integrity.
Processed Lab Reports and AI Outputs are retained for 7 days by default. After the retention period, the report document and its AI Outputs are automatically deleted from active systems, and that deletion is irreversible unless otherwise agreed. Deleting a report does not by itself delete every record derived from it — see Section 6.4.
Customers may configure custom retention periods via platform settings or enterprise agreements. Retention configurations are controlled by the Customer.
The Customer is solely responsible for ensuring retention policies comply with regulatory requirements and internal governance policies. In particular, the default 7-day retention period may be shorter than the medical-record retention periods that apply to the Customer, and the Customer must configure retention accordingly. Clarrif does not provide legal retention advice.
Deleting a Lab Report removes the report document and its AI Outputs. Certain operational and derived records are retained on their own lifecycles so the Service can function, including: the patient directory (contact details and identifiers, retained while the patient has any remaining report and cleared thereafter), longitudinal health-trend history, delivery and audit logs, scheduled reminders and unsubscribe records, and aggregate, de-identified usage analytics that persist after individual reports are deleted. A deleted report may also be recoverable for a short recovery window before permanent deletion.
The Customer represents that it has obtained valid patient consent prior to uploading or sending data and that patients have been informed of AI-based processing and privacy practices. This includes any consent or other lawful basis required to deliver reports to, and to send reminders to, the patients and other recipients the Customer designates. Clarrif does not determine the purposes of processing patient data and does not independently obtain consent from patients; where the Service transmits communications to patients, it does so only as a processor on the Customer's behalf.
Data may be processed on secure infrastructure located outside the country of origin, including outside India. By using the Service, the Customer represents that it has obtained all legally required consents for cross-border processing. Sub-processor transfers and safeguards are described in the Data Processing Addendum.
Clarrif implements safeguards including encryption, role-based access controls, secure cloud infrastructure, and audit logging. However, no system can guarantee absolute security.
The Service relies on third-party providers, including cloud infrastructure and object storage, AI model providers, email delivery services, and payment processing. These providers are engaged as sub-processors, are subject to confidentiality and security obligations, and process data only to provide their part of the Service. The categories and current list of sub-processors are described in the Data Processing Addendum.
Features labeled as beta or experimental are provided “as is,” may change or be discontinued, and are excluded from service guarantees.
The Service may operate under subscription pricing, usage-based pricing, or credit-based billing. Failure to pay applicable fees may result in suspension or termination. Commercial terms may be governed by separate agreements.
Clarrif retains ownership of the software, AI models, branding, and platform architecture. Customers receive a limited, non-transferable license to use the Service. AI Outputs may be used internally or for patient communication but may not be resold as a competing standalone service without written permission.
Both parties agree to protect confidential information including technical documentation, trade secrets, and Customer Data. This obligation survives termination.
To the maximum extent permitted by applicable law, the Service and all AI Outputs are provided “as is” and “as available”, with all faults and without warranties of any kind, whether express, implied, or statutory. Clarrif expressly disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranty arising from a course of dealing or usage of trade. Clarrif does not warrant that the Service will be uninterrupted, timely, secure, or error-free, that AI Outputs will be accurate, complete, or reliable, or that all defects will be corrected. No advice or information obtained from the Service creates any warranty not expressly stated in these Terms.
To the maximum extent permitted by applicable law, Clarrif and its affiliates, officers, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, nor for any loss of profits, revenue, data, goodwill, or business, nor for any clinical outcome, arising out of or relating to the Service or these Terms — even if advised of the possibility of such damages and regardless of the theory of liability. Clarrif's total aggregate liability for all claims arising out of or relating to the Service or these Terms shall not exceed the fees paid by the Customer to Clarrif in the twelve (12) months preceding the event giving rise to the claim. These limitations are an essential basis of the bargain and apply even if a remedy fails of its essential purpose. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law (such as liability for fraud or wilful misconduct).
The Customer agrees to indemnify and hold Clarrif harmless against claims arising from failure to obtain patient consent (including consent or another lawful basis to deliver reports to, or send reminders to, patients or other recipients), regulatory violations, improper data uploads, inaccurate recipient contact details, misuse of AI Outputs, infringement or violation of any third-party intellectual property, privacy, or other rights, or breach of these Terms.
Clarrif may suspend or terminate access if Terms are violated, payments are overdue, or security risks arise. Customers may discontinue use at any time. Certain provisions survive termination, including intellectual property, confidentiality, liability limitations, and indemnification.
Neither party is liable for delays caused by events beyond reasonable control, including natural disasters, infrastructure outages, government actions, or internet failures.
These Terms are governed by the laws of India. Subject to the arbitration provision below, the courts at Varanasi, India shall have exclusive jurisdiction, including for interim relief and enforcement of arbitral awards, unless otherwise agreed.
Disputes shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996, seated in Varanasi, India.
Clarrif may update these Terms periodically. Continued use constitutes acceptance of updated Terms.
These Terms constitute the entire agreement between Clarrif and the Customer and supersede prior agreements.
If any provision is unenforceable, the remaining provisions remain valid.
Provisions relating to Intellectual Property, Confidentiality, Liability, and Indemnification survive termination.
No failure or delay by Clarrif in exercising any right under these Terms is a waiver of that right, and no single or partial exercise precludes any further exercise. A waiver is effective only if in writing and signed by Clarrif.
The Customer may not assign or transfer these Terms or any rights under them without Clarrif's prior written consent. Clarrif may assign these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties' permitted successors and assigns.
These Terms are solely for the benefit of Clarrif and the Customer. No other person — including any patient, recipient, or other data subject — is a third-party beneficiary of, or has any right to enforce, these Terms.
If the Customer or its Authorized Users provide feedback, suggestions, or ideas about the Service, Clarrif may use them for any purpose without restriction, attribution, or obligation, and the Customer grants Clarrif a perpetual, irrevocable, worldwide, royalty-free licence to do so.
The Customer acknowledges that a breach of the intellectual property or confidentiality provisions may cause irreparable harm for which monetary damages are inadequate, and that Clarrif is entitled to seek injunctive or other equitable relief in addition to any other remedy, without the need to post bond.
Notices to Clarrif must be sent to support@clarrif.com. Clarrif may give notices to the Customer through the Service, the account email on file, or the Customer's registered address, and such notice is deemed received when sent or posted.
For legal or compliance inquiries, contact support@clarrif.com. Grievances or questions about personal data may be directed to Clarrif's Grievance Officer, Sindhu Rai (Director), at admin@clarrif.com, who will acknowledge and respond within the timelines required by the DPDP Act.
